STOP-HCV data sharing agreement

Short letter agreement for data access from the STOP-HCV consortium database (STOP-HCV datastore) for the project entitled: ‘XXXXXX’ (the “Study”) WHEREAS: A. The Chancellor, Masters and Scholars of the University of Oxford were the Lead party for the Medical Research Council funded project entitled “Stratified Medicine to Optimise Treatment for Hepatitis C Virus Infection (STOP-HCV)” (the “Project”). B. XXXXX (the “Data User”) wishes to have access to a subset of STOP-HCV consortium data (“Data” as described in Schedule 1) for the purpose of conducting the project entitled ‘XXXXX’ (the “Study”, as set out in Schedule 2). C. The STOP-HCV Steering Group has reviewed and approved the data access request made by the Data User and has agreed to provide the Data to the Data User for the purpose of the Study, subject to the terms and conditions of this Agreement. Therefore the STOP-HCV consortium and Data User now agree: 1. In consideration of the obligations accepted by the Data User under this Agreement, the STOP-HCV consortium grants to the Data User during the Study Period a non-exclusive, personal and non-transferable licence of the Data, solely for the purpose of conducting the Study, as approved by the Data Access Committee and set out in Schedule 2. 2. The Study Period shall be for X months from the effective date of this Agreement. 3. The Data User undertakes to keep the Data strictly confidential and only to use or disclose the Data strictly in accordance with the Study (or as may be required by law or a court of competent jurisdiction). 4. The Data user shall not provide or otherwise make available Data to any third party. 5. The Data User shall promptly submit any information reasonably requested by the STOP-HCV Steering Group to evidence the work undertaken by the Data User in connection with the Study. 6. The Data User shall include any contributors of the Data as co-author(s), and acknowledge the STOP-HCV consortium as the source of the Data, in any publication reporting on its use. 7. All intellectual property rights in the Data are and shall remain at all times the property of the contributor of the Data to the STOP-HCV consortium. 8. This Agreement shall be effective from the date of the last signature and shall terminate upon the expiration of the Study Period or if the Data User commits any material breach or persistent breach of any of the terms of this Agreement. 9. This Agreement shall be governed by, and construed in accordance with, the laws of England and Wales, and the courts of England and Wales shall have exclusive relation to it.

Studies are experimental investigations of a particular phenomenon, e.g., case-control studies on a particular trait or cancer research projects reporting matching cancer normal genomes from patients.
