DATA ACCESS AGREEMENT In signing this Agreement: 1. Purpose of Data Use: You agree to use the Data solely for the advancement of medical research, in accordance with the consent obtained from sample donors. 2. Confidentiality Obligations: You commit to preserving the confidentiality of information and Data pertaining to Data Subjects at all times. Specifically, you undertake not to use or attempt to use the Data to compromise or infringe upon the confidentiality of Data Subjects and their right to privacy. 3. Prohibition on Data Linking: You agree not to attempt to link the Data provided under this Agreement to other information or datasets, even if access to such data has been formally granted to you or is freely available without restriction, without obtaining specific permission from the relevant access committees. 4. Restrictions on Data Transfer: You agree not to transfer or disclose the Data, in whole or in part, or any identifiable material derived from the Data, to others, except as necessary for data/safety monitoring or program management. Should you wish to share the Data with a collaborator outside your Institution, the third party must submit a separate application for access to the Data. 5. Project-Specific Data Use: You agree to use the Data solely for the approved purpose and project described in your application. Use of the Data for a new purpose or project requires a new application and approval. 6. Data Versioning Compliance: You accept that the Data may be reissued from time to time, with appropriate versioning. If reissued at the request of sample donors or due to ethical considerations, you agree to destroy earlier versions of the Data. 7. Acknowledgment of Data Sources: In any work based in whole or part on the Data, you agree to acknowledge and cite the published paper from which the Data derives, the specific version of the Data used, and the role of the original data creators. 8. Disclaimer of Liability: You accept that the original data creators, depositors, or funders of the Data: a) Bear no legal responsibility for the accuracy or comprehensiveness of the Data; and b) Accept no liability for indirect, consequential, or incidental damages or losses arising from the use of the Data, or from the unavailability of, or interruption in access to, the Data for any reason. 9. Intellectual Property Rights: You understand and acknowledge that the Data is protected by copyright and other intellectual property rights. Duplication, except as reasonably required to conduct your research with the Data, or sale of all or part of the Data on any media, is not permitted. 10. No Transfer of Intellectual Property: You recognize that nothing in this Agreement transfers to your Institution any intellectual property rights related to the Data. Your Institution has the right to develop intellectual property based on comparisons with its own data. 11. Termination upon Breach: You accept that this Agreement will terminate immediately upon any breach by you, and you will be required to destroy any Data held. 12. Amendments to Agreement: You accept that it may be necessary for the original data creators to alter the terms of this Agreement to address new concerns. In such an event, the original data creators or their appointed agent will inform you of any changes, and your continued use of the Data will depend on entering into a new version of the Agreement. 13. Reporting Obligations: You agree to submit a report to the Data Access Committee, if requested, upon completion of the agreed purpose. The Data Access Committee agrees to treat the report and all information, data, results, and conclusions contained within it as confidential information belonging to your Institution. 14. Legal Compliance: You accept that the Data is protected by and subject to international laws, including the EU’s General Data Protection Regulation (GDPR). You are responsible for ensuring compliance with all applicable laws. The Data Access Committee reserves the right to request and inspect data security and management documentation to ensure the adequacy of data protection measures, especially in countries lacking national laws comparable to the GDPR. 15. Data Security Measures: You agree to implement and maintain appropriate administrative, physical, and technical safeguards to protect the Data from unauthorised access, disclosure, alteration, or destruction. These measures should include, but are not limited to: a) Encryption of Data during storage and transmission; b) Access controls limiting Data access to authorised personnel only; c) Regular security assessments and audits to ensure ongoing protection of the Data. 16. Data Breach Protocols: In the event of a data breach or any unauthorised access to the Data, you agree to: a) Notify the Data Access Committee immediately upon becoming aware of the breach; b) Cooperate fully with any investigation conducted by the Data Access Committee or relevant authorities; c) Take all necessary steps to mitigate the effects of the breach and prevent future occurrences. 17. Audit and Compliance Monitoring: You agree that the Data Access Committee, or its appointed agents, may conduct periodic audits to ensure compliance with the terms of this Agreement and applicable data protection laws. You agree to provide access to relevant records and cooperate fully with such audits. 18. Governing Law: This Agreement shall be interpreted and construed in accordance with the laws of the jurisdiction in which your Institution is located, or, if the original data creators are the defending party, the laws of the United Kingdom. References to statutes include amendments or successor legislation of comparable effect.
